Position/Title: Controller

  1. Function:
    Responsible for the controller functions in an independent corporation. Directs the accounting function, maintains fiscal records, establishes and maintains budgetary controls and procedures and prepares financial reports in compliance with the company's reporting requirements and operating procedures. Responsible for coordination of information required to prepare and to review all routine accounting, revenue accounting, external financial reporting, tax compliance, annual budgeting process and internal management reporting for company and project results. Responsible for overseeing the process of information collection and to assure reporting deadlines are met with adequate time for internal and external reviews by legal counsel, auditors and internal executives.
  2. Specific Responsibilities and Activities:
    • Responsible for timely and accurate preparation of the company's financial statements for SEC reporting purposes in accordance with Generally Accepted Accounting Principles (US GAAP), including footnotes, Management Discussion and Analysis (MD&A), required tables, etc., including maintaining documentation required to prepare the statements, notes, tables, and schedules. Assures appropriate reviews with the company's audit committee and disclosure committee, and more broadly compliance with Sarbanes-Oxley (SOX) requirements.
    • Responsible for preparing financial statements for internal management reporting, with support from Chief Financial Officer (CFO).
    • Interfaces with the company's external auditors and tax advisors.
    • Responsible for producing and communicating a month end close schedule that ensures accurate financial results will be available in a timely manner.
    • Responsible for developing, maintaining and complying with written SOX internal control for the finance and accounting functions in compliance with Section 404, and working with responsible parties in other areas of the company to assure that appropriate financial controls are incorporated in their business processes. Develops training for accounting staff as required.
    • Reviews weekly disbursements for accuracy and proper documentation.
    • Ensures proper revenue recognition and expense recording on collaboration and license agreements.
    • Reviews various contracts, orders, vouchers, etc. to ensure proper accounting treatment.
    • Assists in preparing and reviewing tax return work papers.
    • Maintain accounting records and procedural documentation to allow for transparency in reporting.
    • Monitors and ensures compliance with all laws, regulatory requirements, and generally accepted standards and best practices applicable to the organization.
    • Develops and implements operational processes and procedures needed to accommodate organizational growth.
    • Responsible for change control as the document moves through revisions.
    • Supports preparation of annual budgets.
  3. Supervisory Responsibilities:
    Education:
    1. Directly supervises employee(s).
    2. Manages through subordinate supervisor the coordination of the activities of a section(s) or department(s) with responsibility for results in terms of costs, methods and employees.
  4. Education/Experience/Skills:
    Education:
    • BS/BA degree in related discipline and eleven years of related experience; or,
    • MS/MA degree in related discipline and nine years of related experience (M.B.A. emphasis in Accounting.); or,
    • Equivalent combination of education and experience.
    • Certified Public Accountant (CPA) required.
    • May require certification in assigned area.
    Experience:
    • Typically requires a minimum of fifteen years of related experience and/or combination of experience and education/training.
    • At least 3 years of accounting experience at a corporate level for a publicly traded company with international elements.
    • Experience in Biotech/Pharmaceutical industry preferred.
    • Knowledge of Sarbanes-Oxley and Section 404 requirements.
    • Experience with and knowledge of Great Plains Microsoft.
    • Experience of forecast modeling, as well as analysis cash flow, net value analysis and return on investment.
    Knowledge/Skills/Abilities:
    • Has extensive experience in relevant industry/profession.
    • Ability to demonstrate sound business judgment and keep key executives and team members informed on essential matters.

    • Applies advanced practices, technical principles, theories and/or concepts, and contributes to the development of new principles and concepts. Has a comprehensive understanding of current approaches in industry and ability to incorporate them into the company's programs.
    • Strong analytical skills.
    • Identifies and implements methods, techniques, procedures and evaluation criteria to achieve results.
    • Guides the successful completion of major programs, projects and/or functions. Has extensive experience leading multiple projects involving complex issues and decision-making.
    • Leads or manages the work of others by providing guidance to subordinates or teams based on organizational goals and company policy, with responsibility for results, including costs, methods and staffing.

    • Proficient with broad use computer applications such as MS Office and specialized applications as needed for job.
    • Posesses strong communication skills. Is able to explain complex accounting concepts in straight forward terms.
  5. Job Complexity:
